Opportunities on Wee Chicks’ Board of Directors
Wee Chicks, an award-winning social enterprise based in North Belfast, is dedicated to providing innovative and affordable childcare solutions with a strong focus on positive mental health. We offer services including After Schools Clubs, Holiday Camps, Creche PAYG, Pop-Up Childcare and Parenting Courses across North Belfast.
We are currently seeking professionals with expertise in:
- Legal Affairs
- Accounting and Finance
- Governance
- Human Resources
Commitment:
- Attend quarterly board meetings mostly online (1.5 to 2 hours per session).
- Provide support to the CEO as needed.
Responsibilities:
- Act honestly and in good faith when dealing with members.
- Run the CIC/Charity responsibly, using care and skill, aiming to benefit the members.
- Hold annual general meetings every year and ensure members receive the annual report, accounts, and any important updates.
- Declare personal financial interests to avoid benefiting personally from the CIC/Charity.
- Follow the law: Directors cannot act if they are disqualified (e.g., due to criminal convictions).
- Stay within your powers and ensure the CIC/Charity sticks to its goals.
- Be honest and fair with people outside the CIC/Charity, especially creditors.
- File important documents on time with Companies House, like annual accounts and returns, to avoid fines.
- Report changes (e.g., new directors or address changes) within 14 days.
Conflict of Interest:
- Declare any conflict of interest: If a board member has any personal, financial, or other interest in a matter being discussed, they must declare it.
- Do not take part in decisions: If a conflict of interest exists, the board member must not participate in discussions or decisions related to that matter. They should leave the room during discussions and not vote on the issue.
- Stay neutral: Ensure that decisions are made in the best interest of the charity, without personal bias or gain.
